Leslie A. Keil's practice focuses on corporate law and business transactions, including corporate formation, private equity and debt financing, contracts, mergers and acquisitions, intellectual property licenses, and the review and negotiation of primary and secondary investments in private equity, real estate, mezzanine debt and a variety of other investment funds, as well as commercial real estate acquisition, sale, financing, and leasing. Leslie regularly advises a broad range of clients, from private emerging growth companies to large institutional investors in connection with all of their transactional legal needs.

In 2004, while at the University of San Francisco School of Law, Leslie spent a summer in Paris, interning with a French law firm and studying European Union law at the Paris Institute of European Legal Studies.

Notable Engagements

  • Provided on-site strategic and transactional support during a six-month engagement with a publicly held corporation in the Bay Area listed on the NASDAQ Global Select Market
  • Assisted with the close of several private equity financing transactions including revising stock purchase, right of first refusal and co-sale, investor rights, and voting agreements
  • Assisted with the close of multiple asset sales, including conducting due diligence, counseling executive management on deal structure, and drafting and negotiating the asset purchase agreement and related ancillary agreements
  • Assisted with the close of a $40 million real estate construction loan, including drafting and negotiating related agreements for the property developer, property manager, previous property owner, and adjoining property owners
  • While working in-house at a publicly held staffing services corporation, closed approximately 600 independent high-revenue deals for recruiting sales team during a year of continuous record growth for the company (revenues exceeding $1 billion per quarter)
  • While working in-house at a publicly held corporation providing business software and hardware systems to Fortune 100 customers, drafted, reviewed, and negotiated approximately 300 transactional and master implementation services agreements (values up to $5 million) in time-sensitive, sales-driven environment, for software consulting services line of business
