Michael Y. Lateef's legal expertise includes business transactions, intellectual property, and real estate transactions. Michael advises clients on a variety of corporate law and corporate tax issues, including those affecting "C" corporations, consolidated groups, and pass-through entities (including LLCs, limited partnerships and "S" corporations). He counsels clients in all phases of business development, including operation, acquisition and restructuring of business entities as well as matters affecting "choice of entity" and capital formation, including providing clientele with the information necessary to opt for one or more classes of stock, debt versus equity, and/or equity-linked incentive compensation arrangements.

Michael has extensive experience assisting private software companies with distribution, licensing and intellectual property protection. He has successfully structured and drafted alliances, as well as technology licensing and distributorship agreements.

Michael's real estate practice includes representing clients in real property acquisitions and related financing transactions.
