Intro

Darlene provides domestic and international clients with practical legal solutions to resolve issues from formation, debt and equity financing and entering strategic technology transfer and commercial transactions, to successful exit by merger and acquisitions. She has extensive experience representing high-growth companies and their investors as well as mature privately held companies and their founders. She also spends significant time advising international companies' U.S. subsidiaries as their general counsel, advising them on U.S. legal matters and assisting on cross-border transactional matters.

Darlene had worked at two international law firms and worked for the emerging company group. In addition to private practice, Darlene was in-house counsel at a biometric payment start-up, a publicly-traded IoT company, and a top-tier semiconductor company headquartered in Korea. Prior to becoming a lawyer, Darlene was in the IT profession at a leading software company.

Green product manufacturer. Represented a multinational corporation and worked with local Chinese counsel to help the client's local subsidiary in its $21 million purchase of the shares of a Chinese packaging manufacture from a US seller.  

Tibi Communications, Inc. Represented Tibi in its acquisition by Ciena Corporation. 

Cogir Management USA. Represented Cogir Management USA, the US division of Cogir Services LP, a Montreal-based real estate company in its acquisition of Cadence Senior Living which operate 35 communities in nine states.

Wealth Management Company. Represented Sage Financial Advisors in its acquisition by Wealthspire Advisors, an NFP company. 

HR Talent Management Tech. Represented Topia Inc. in its acquisition of Pearl Global Tech, a leading immigrating risk engine and knowledge base provider. 

Semiconductor company. Represented a Chinese and an Irish semiconductor company to form a joint venture in the U.S.

PaaS (Platform as a Service) Provider. Negotiated and drafted a million dollar revenue PaaS License Agreement between an US subsidiary of a Chinese PaaS company and one of the world’s largest cruise company. 

Transportation. Represented a Canadian transportation company to obtain a multimillion dollar debt financing from EDC (Export Development of Canada) to fund its US operation. 

Darlene worked on the following transactions before joining Hanson Bridgett:

Sensor Concepts, Inc. Represented radar cross-section (RCS) instruments and measurements services provider Sensor Concepts, Inc. in its $92 million acquisition by Raptor Scientific.

Livermore Software Technology. Represented leading automobile collision assimilation software maker Livermore Software Technology in its $775 million acquisition by ANSYS.

Semiconductor business. Represented a female entrepreneur in the sale of her semiconductor business to a private equity firm for more than $20 million.

Semiconductor packaging supplier. Represented a semiconductor packaging supplier in its acquisition by a private equity firm for more than $7 million.

Onanon, Inc. Represented Onanon, Inc., a cable and wire connector manufacturer, in its acquisition by Amphenol for more than $30 million.
