Intro

Fred is the senior member of the firm's Tax Practice and has practiced law for more than 54 years in the areas of taxation and corporate law, often combining his skills in both areas. He handles both planning and dispute resolution in tax matters, including administrative appeals and Tax Court cases for individuals, estates, for-profit entities, and nonprofit entities. He regularly advises clients on the tax implications of real property transactions, including issues related to California property tax rules and 1031 exchanges. In the 1031 context, his work includes advice on swap and drop transactions, forward and reverse exchanges, and specialized planning for 1031 exchanges involving real property held through entities.

His corporate work includes taxable and tax-free mergers, acquisitions, spin-offs, and the planning of day-to-day corporate matters and transactions. Additionally, his corporate practice includes ownership dispute resolution in privately held companies, including tax-favored restructuring of business entities. Fred's work in this area is primarily comprised of ownership disputes involving members of family-owned companies, and property settlements relating to marital dissolutions.
