Hank represents clients in corporate law matters ranging from investment fund formation, financings, investments, mergers and acquisitions, governance, compliance, regulatory requirements, indemnification, and more. He is experienced at drafting and negotiating stock purchase agreements, charters, investor rights agreements, regulatory filings, partnership agreements, operating agreements, and side letters.
All of Hank's corporate work is influenced by his experience representing clients in fundraising for investment funds that raised billions of dollars to invest, analyzing potential investments; working as an activist investor, organizing and growing entities, buying businesses, and dealing with regulatory agencies, as well as his experience in litigation involving enforcement of contracts, disputes among current and former partners, commercial disputes and intellectual property disputes.
His previous experience as a General Counsel and Chief Compliance Officer for an investment firm, at which he was a founding partner and the only legal professional, guides all of his client interactions. He helped the investment fund grow from zero dollars ($0) of assets under management to over one billions dollars (>$1,000,000,000) in assets under management. As a result of this experience, he brings excellent business savvy, negotiation skills, analysis, and research skills to all matters.
In addition, Hank also has experience making and reviewing filings with, and handling a routine examination by the U.S. Securities and Exchange Commission. He also has experience making and reviewing a plethora of filings with numerous other government agencies.
